Product Terms Sponsored ADs

DEALER-FACING TERMS – EFFECTIVE FROM 01/10/2025

Sponsored Ads is a Service as defined in our Get Your Car Terms. These Sponsored Ads Terms apply in addition to the Get Your Car Terms and govern the use of the Sponsored Ads Service from 01/09/2025 onwards.

2.1. Words and phrases used in these Sponsored Ads Terms shall have the same meaning as set out in the Get Your Car Terms or Used Car Subscription Terms (as applicable) unless otherwise set out below:

Ad means a listing for your business that is marked as an “Ad” and shown in sponsored positions.

Ad Fee means the cost per click (“CPC”) on an Ad by Users, as described in Section 7 of these Sponsored Ads Terms.

Billing Date means the date that we invoice you for Ad Fees under your Plan Agreement.

Campaign means any advertising campaign using the Sponsored Ads Service, as requested by you and confirmed by us..

Campaign Budget has the meaning given in Section 7.

Campaign Budget Period means the recurring monthly period beginning on the Campaign Start Date.

Campaign End Date has the meaning given in Section 3.

Campaign Scope and Campaign Start Date shall be as set out in the Order Form.

Campaign Period means the duration from Campaign Start Date to Campaign End Date.

Location means postcode area(s) or district(s).

Maximum Ad Fee means the maximum CPC payable by you, where a maximum budget is agreed, as set out in the Order Form and subject to changes per these Terms.

Order Form means an email sent to you confirming the details of your Campaign, including the Campaign Budget, the Campaign Period, the Maximum Ad Fee and the Sponsored Ads Service. 

Plan Agreement means an agreement for Used Car Subscription Services or Get Your Car Services in the same Category and Location as the Campaign.

Search Listing means listings shown on the Platform in response to a User search.

Sponsored Ads Service means the advertising service provided by Carwow for the purpose of delivering the Campaign, as further described in Section 4.

Sponsored Ads Terms means these terms and conditions for the provision of the Sponsored Ads Service.

3.1. The Sponsored Ads Service will commence on the Campaign Start Date and, unless terminated earlier under these Terms, will end:
a) on the Campaign End Date specified in the Order Form; or
b) if no Campaign End Date is specified:
(i) 5 Business Days after you notify us in writing of cancellation; or
(ii) once the Campaign Budget has been fully spent.
Together, these shall constitute the "Campaign End Date".

4.1. You may request to set up a Campaign by contacting your account manager or, if you do not have one, by emailing the Carwow sales team at brandaccountmanagement@carwow.co.uk

4.2. If we accept your Campaign request, we will confirm via email (the “Order Form”) outlining the details.

4.3. You may request changes or cancellation of your Campaign by contacting your account manager or the Carwow sales team at brandaccountmanagement@carwow.co.uk.

4.4. We may accept changes to your Campaign at our discretion. Any accepted changes will constitute a variation to your agreement.

4.5. Changes will be confirmed via a Variation Email and take effect no later than five Business Days from confirmation, unless otherwise agreed.

4.6. You will only be eligible for an Ad in a Search Listing if you are eligible under your Plan Agreement.

4.7. Changes to your Plan Agreement may affect your eligibility for Ad placements.

4.8. as part of Campaign creation, you will choose whether to sponsor:

  • New, Used, or Leasing cars on the Product Listing Page (PLP); or
  • New or Leasing cars on the Offers List Page ; and 
  • You will choose which distance for location targeting; and 
  • you will choose which makes and models of vehicles will be sponsored
  • You will also get the option to sponsor all your vehicles 

4.9. Ads will appear in sponsored positions on relevant pages:

  • Ads will appear in sponsored positions on relevant pages, including the Product Listing Page (PLP), Product Description Page (PDP), and GVA Landing page for New, Used and leasing vehicles, and the Offers List Page for New or Leasing cars.

5.1. We determine, at our discretion, the content and specific placement of your Ad within the Search Listing.

5.2. We may provide you with Campaign performance reports via email or phone.

5.3. We will use reasonable skill and care to deliver your Campaign but we do not promise or guarantee specific results or the following:

a) Ad timing, position, or frequency
b) Viewability duration
c) Number of Ad placements
d) Number of impressions or clicks

Campaign performance can be affected by things outside our control, such as market trends, seasonality, wider economic conditions, or unexpected external events. 

6.1. You acknowledge that the processes used to determine Ad placement are proprietary to Carwow and/or its third-party providers. We are not obliged to disclose these processes.

Ad fees

7.1. You pay an Ad Fee for each click on your Sponsored Ad by a User, calculated on a cost-per-click (“CPC”) basis.

7.2. You may purchase Sponsored Ads under one of the following pricing options, as set out in your Order Form:

  • Option A – Standard CPC: You pay the Standard CPC rate for each click, with no Minimum Spend commitment.
  • Option B – Minimum Spend with Discounted CPC: You agree to a Minimum Spend each month. If the Minimum Spend is met, the Discounted CPC rate applies. If the Minimum Spend is not met, the Standard CPC rate applies to all clicks delivered in that month.

Campaign Budget

7.3. The total Ad Fees in any Campaign Budget Period shall not exceed your agreed Campaign Budget (excluding VAT), unless otherwise agreed in writing.

7.4. Carwow will use reasonable efforts to optimise your campaign and maximise visibility, but Carwow does not guarantee delivery of the Minimum Spend.

VAT

7.5. All Ad Fees are exclusive of VAT. VAT will be charged in addition.

Pricing updates

7.6. Carwow may adjust CPC pricing in the future. Any such changes will be communicated to you in advance by email and shall be captured in a new Order Form.

7.7. The CPC rates and any applicable Minimum Spend will always be as set out in your Order Form or the current Carwow rate card provided to you.

Invoicing and Payments

7.8. Invoices will be issued on your Billing Date for the total Ad Fees incurred during the previous Campaign Budget Period, reflecting the applicable CPC (standard or discounted).

7.9. Payment is due within 30 days (UK) or 10 days (DE) from the invoice date, unless otherwise agreed in writing.

7.10. Payment will be collected via the direct debit or card authorisation you have provided, unless otherwise agreed.

8.1. If your Plan Agreement is suspended or terminated, your Sponsored Ads Campaign will be suspended or terminated accordingly. Upon termination, all outstanding Ad Fees accrued before termination will remain payable

8.2. We may temporarily suspend your Campaign with written notice if:

  • Ad Fees are overdue, or
  • You breach these Terms.

8.3. We may suspend or terminate your Campaign at any time with a minimum of 24 hours' written notice.
